1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Notiphier ("Company", "we", "us", or "our") governing your access to and use of the Notiphier platform, including our website (www.notiphier.com), messaging automation services, WhatsApp Business integrations, Google Sheets integrations, APIs, and all related services (collectively referred to as the "Platform" or "Services").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to update or modify these Terms at any time. Any updates will be effective immediately upon publication on our website. Continued use of the Platform constitutes acceptance of the updated Terms.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirement

You must be at least 18 years old to use the Platform. By using the Platform, you confirm that you have the legal capacity to enter into a binding agreement.

2.2 Business Use

If you use the Platform on behalf of a business or organization, you confirm that you have the authority to bind that organization to these Terms.

2.3 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities performed under your account
  • Notifying us immediately of unauthorized access
  • Ensuring that your account information remains accurate

3. DESCRIPTION OF SERVICES

Notiphier provides automation and communication tools, including but not limited to:

  • WhatsApp Business API integration
  • Messaging automation
  • Google Sheets integrations
  • Contact management
  • Notification systems
  • Analytics and reporting tools
  • Automation workflows
  • API integrations
  • AI-powered messaging features

IMPORTANT:

Our services depend on third-party platforms including WhatsApp Business API (Meta) and Google APIs. We do not control these services and are not responsible for their availability, pricing, or policy changes.

4. USER OBLIGATIONS AND PROHIBITED USES

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes. You must NOT:

  • Violate any applicable law or regulation
  • Send spam or unsolicited messages
  • Send messages without user consent
  • Harass, threaten, or abuse any person
  • Distribute illegal or harmful content
  • Attempt to hack or disrupt the Platform
  • Upload malware or malicious code
  • Reverse engineer the Platform
  • Scrape or copy platform data
  • Use the Platform for fraud or illegal activities
  • Violate WhatsApp Business policies
  • Violate data protection laws

4.2 WhatsApp Compliance

You acknowledge that you are fully responsible for complying with:

  • WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • Meta Terms of Service

Violations may lead to: WhatsApp account suspension, Immediate termination of your Notiphier account, Possible legal consequences.

Notiphier is not responsible for violations committed by users.

5. DATA SECURITY AND USER RESPONSIBILITY

5.1 Platform Security

We implement reasonable security measures to protect user data. However, no online service can guarantee absolute security.

5.2 Your Responsibilities

  • Obtaining user consent before sending messages
  • Complying with applicable privacy laws
  • Securing your account credentials
  • Protecting your own devices and internet connection
  • Maintaining backups of your data

5.3 Data Processing

By using the Platform, you authorize Notiphier to process data from connected services (such as WhatsApp and Google) for the purpose of providing the Services. Our data processing practices are described in our Privacy Policy.

6. THIRD-PARTY SERVICES

6.1 WhatsApp Business API

Notiphier integrates with WhatsApp Business API, which is operated by Meta Platforms, Inc.

You acknowledge that: WhatsApp controls the messaging infrastructure, WhatsApp policies apply to your messaging, WhatsApp may change pricing or policies at any time, Notiphier is not responsible for WhatsApp service interruptions.

6.2 Google Services

Notiphier may integrate with Google APIs, including Google Sheets. By using these features you agree to: Google's Terms of Service, Google's Privacy Policy, Google API Services User Data Policy.

We use Google data only to provide platform functionality. We do NOT use Google user data for advertising.

7. PAYMENT TERMS

7.1 Subscription Fees

Some platform features require a paid subscription. By subscribing, you agree to pay the applicable fees shown on our pricing page.

7.2 Billing

Subscriptions may be billed: Monthly, Annually. Subscriptions renew automatically unless canceled before renewal.

7.3 Price Changes

We may change pricing at any time. Changes will take effect in the next billing cycle.

7.4 Taxes

All prices are exclusive of applicable taxes. Users are responsible for paying any applicable taxes.

7.5 Refund Policy

Unless otherwise specified, all payments are non-refundable, except where required by law.

8. INTELLECTUAL PROPERTY

All intellectual property related to the Platform, including: Software, Design, Branding, Logos, Content, Source code belongs to Notiphier and is protected by intellectual property laws. You are granted a limited, non-transferable license to use the Platform for legitimate business purposes.

9. DISCLAIMER OF WARRANTIES

The Platform is provided "AS IS" and "AS AVAILABLE". We make no guarantees that: The Platform will always be available, The Platform will be error-free, The Platform will meet your expectations.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Notiphier shall not be liable for: Loss of profits, Loss of data, Business interruption, Third-party service failures, Unauthorized access, Security breaches, System outages.

Our maximum liability shall not exceed the total amount you paid for the service in the previous 12 months or $100 USD, whichever is lower.

11. ACCOUNT SUSPENSION AND TERMINATION

We may suspend or terminate your account if: You violate these Terms, You violate third-party policies, Fraudulent activity is suspected, Payment obligations are not met, Abuse of the Platform is detected. Upon termination: Your access to the Platform will stop immediately, Your data may be deleted, No refunds will be issued.

12. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt.

Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Cairo, Egypt.

13. GENERAL PROVISIONS

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Notiphier. If any provision is found unenforceable, the remaining provisions will remain valid. Failure to enforce any provision does not constitute a waiver of rights.
